These Terms of Service govern your access to and use of the tax advisory and related services provided by Maple Ledger Tax Advisory Inc. By engaging, accessing, or using any services provided by Maple Ledger Tax Advisory Inc., you agree to be bound by these Terms of Service and all applicable laws and regulations in Canada, including applicable federal and provincial laws and regulations. If you do not agree with these Terms, you must not use the services.

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Maple Ledger Tax Advisory Inc., having its principal place of business at Suite 402, 1188 West Hastings Street, Vancouver, BC V6E 4S7, Canada (“Maple Ledger Tax Advisory Inc.,” “we,” “us,” or “our”).

By retaining our services, communicating with us, submitting information or documents, or otherwise engaging with Maple Ledger Tax Advisory Inc., you represent that you have read, understood, and agree to these Terms. If you are acting on behalf of another person or entity, you represent and warrant that you have the authority to bind that person or entity to these Terms.

Our services are intended for use by clients in Canada and for matters governed by Canadian tax and related regulatory requirements, unless expressly agreed otherwise in writing.

2. Scope of Services

Maple Ledger Tax Advisory Inc. provides tax-consulting services, which may include the following:

Our services are advisory and compliance-support services only. Unless expressly stated in writing, we do not provide legal representation, accounting attest services, investment advice, insurance advice, or services reserved by law to regulated professionals. Any filing, submission, or correspondence with the Canada Revenue Agency (“CRA”) or other authorities may be performed on your behalf only to the extent authorized by you and permitted by law.

We may rely on information and documentation provided by you. We do not independently verify all information provided by clients unless specifically agreed in writing. The accuracy, completeness, and timeliness of the information you provide are essential to the quality of our services.

3. User Obligations and Responsibilities

You agree to:

You acknowledge that tax laws and CRA administrative practices may change, and that our services are based on the facts and law known at the time of service. You are responsible for providing instructions and authorizations where required, and for making final decisions regarding the filing of your returns and other submissions.

You must not provide us with fraudulent, misleading, or incomplete information. We reserve the right to suspend or terminate services if we suspect unlawful conduct, misrepresentation, or failure to cooperate.

4. Payment Terms and Conditions

Fees for services will be communicated in advance, either through a written engagement letter, invoice, estimate, service package description, or other written communication from Maple Ledger Tax Advisory Inc. Fees may be fixed, hourly, retainer-based, or otherwise agreed upon depending on the nature and complexity of the services.

Unless otherwise agreed in writing, invoices are payable upon receipt. Any estimate provided is not a guarantee of final cost unless expressly stated as a fixed fee. If a dispute arises regarding an invoice, you must notify us in writing within a reasonable time after receipt of the invoice, specifying the basis of the dispute.

5. Cancellation and Refund Policy

You may cancel services by providing written notice to Maple Ledger Tax Advisory Inc. Cancellation will be effective upon receipt of your notice, subject to the completion of any work already performed and any non-cancellable third-party costs incurred on your behalf.

Because tax services often involve time-sensitive work and professional effort that cannot be reversed, all refund requests are reviewed on a case-by-case basis in accordance with applicable law and the applicable engagement terms.

6. Liability Limitations

To the fullest extent permitted by applicable law, Maple Ledger Tax Advisory Inc., including its directors, officers, employees, contractors, and agents, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of business, loss of data, or loss of opportunity arising out of or relating to the use of our services.

Without limiting the foregoing, Maple Ledger Tax Advisory Inc. is not responsible for:

Our total aggregate liability arising from or relating to services provided under these Terms, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall be limited to the amount of fees actually paid by you to Maple Ledger Tax Advisory Inc. for the specific service giving rise to the claim, except where such limitation is prohibited by law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, or other non-excludable liabilities under Canadian law, where applicable.

7. Intellectual Property Rights

All materials, documents, templates, methodologies, checklists, workflows, written content, and proprietary tools used or provided by Maple Ledger Tax Advisory Inc. remain the intellectual property of Maple Ledger Tax Advisory Inc. or its licensors, as applicable, except for your personal or business records and the final work product specifically paid for and delivered to you, subject to any applicable restrictions.

You are granted a limited, non-exclusive, non-transferable license to use our materials solely for your internal tax, compliance, and record-keeping purposes, unless otherwise agreed in writing. You may not copy, modify, distribute, resell, publish, or create derivative works from our proprietary materials without our prior written consent.

All third-party materials remain the property of their respective owners. Any data or documents you provide to us remain yours, subject to our rights to use them as necessary to perform the services and comply with legal obligations.

8. Data Protection and Privacy

This may include disclosure to the CRA, financial institutions, software providers, cloud hosting providers, courier services, and other third parties as required to perform services or comply with legal obligations.

We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

You are responsible for maintaining the confidentiality of any passwords, access credentials, or security codes you provide or that are used to access your accounts. If you believe your information has been compromised, you should notify us promptly.

9. Force Majeure

Maple Ledger Tax Advisory Inc. shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, fires, floods, pandemics, epidemics, war, terrorism, civil unrest, labour disputes, power outages, telecommunications failures, internet outages, government actions, regulatory changes, or failures of third-party systems or service providers.

Where a force majeure event occurs, our obligations will be suspended for the duration of the event to the extent affected, and we will use commercially reasonable efforts to resume performance as soon as practicable.

10. Changes to Terms

Maple Ledger Tax Advisory Inc. may update or modify these Terms from time to time to reflect changes in our services, operational requirements, or applicable law. If any invalid or unenforceable provision can be interpreted in a manner that would make it valid and enforceable, it shall be interpreted accordingly, consistent with the original intent of the parties and applicable law.
